Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and QilaAI, Inc. ("QilaAI," "we," "our," or "us") governing your access to and use of our services, including but not limited to the WhatsApp-based MVP, website sign-up flow, and any associated products or services (collectively, the "Services"). By creating an account, verifying your phone number via OTP, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

• 2.1 QilaAI provides artificial intelligence–driven tools designed to detect, flag, and provide advisory information regarding suspected fraudulent, scam-related, or malicious communications.
• 2.2 Users may submit, via WhatsApp or other channels, screenshots, text, images, videos, or similar content for analysis ("Submitted Content").
• 2.3 The Services are intended solely for informational and advisory purposes and shall not be construed as legal, financial, or professional advice.

• 3.1 The Services are currently restricted to residents of India, verified through registration using an Indian mobile number (+91).
• 3.2 Users must be at least eighteen (18) years of age. By using the Services, you represent and warrant that you meet this requirement.
• 3.3 Access from outside the designated territory is prohibited.

You agree not to:

• (a) submit unlawful, defamatory, obscene, offensive, or malicious content;
• (b) upload or transmit malware, spyware, viruses, or similar harmful code;
• (c) use the Services for fraudulent or unlawful purposes;
• (d) infringe the intellectual property rights of QilaAI or third parties; or
• (e) attempt to disrupt, disable, or otherwise interfere with the operation of the Services.

• 5.1 At the time of registration, Users will be asked to provide explicit consent to receive marketing, promotional, and informational communications from QilaAI via WhatsApp, SMS, or email.
• 5.2 Such consent shall be distinct from acceptance of these Terms. Users may withdraw such consent at any time by contacting QilaAI or using unsubscribe functionality.

• 6.1 The Services are provided strictly on an "as is" and "as available" basis, without warranties of any kind, express or implied.
• 6.2 QilaAI expressly disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of detection.
• 6.3 No representation is made that the Services will identify all fraudulent or malicious activity. Users remain solely responsible for verifying communications and safeguarding their information.

• 7.1 To the fullest extent permitted by applicable law, QilaAI, together with its founders, officers, directors, employees, contractors, and affiliates, shall bear no liability for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the Services.
• 7.2 In no event shall the total aggregate liability of QilaAI exceed the greater of: (i) the amount paid by the User for the Services in the twelve (12) months preceding the claim (currently ₹0 for the MVP), or (ii) five U.S. dollars (US $5).

You agree to indemnify, defend, and hold harmless QilaAI, its founders, officers, employees, contractors, and affiliates from and against all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; or (c) your Submitted Content.

• 9.1 All intellectual property rights, including but not limited to trademarks, trade names, logos, proprietary algorithms, AI models, and related content, are and shall remain the exclusive property of QilaAI.
• 9.2 Users are granted a limited, revocable, non-transferable, and non-exclusive license to use the Services solely for personal, non-commercial purposes.

• 10.1 These Terms shall be governed by and construed in accordance with the laws of India.
• 10.2 Any dispute shall be submitted to binding arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996.
• 10.3 Users waive the right to participate in class actions or representative proceedings.

QilaAI reserves the right to amend or update these Terms at any time. Continued use of the Services after publication of revised Terms shall constitute acceptance.
